1. ACCEPTANCE OF TERMS

Welcome to Franchise League Football! These Terms of Service ("Terms") constitute a legally binding agreement between you and Franchise League Football, LLC and its affiliates (collectively, "FLF," "we," "our," or "us") governing your access to and use of our fantasy football application, website, and related services (collectively, the "Service").

By accessing or using the Service in any manner, including, but not limited to, visiting or browsing the Service, registering an account, or contributing content or other materials to the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through the Service prior to the changes becoming effective. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. ELIGIBILITY

To use the Service, you must be at least 18 years of age, or the age of legal majority in your jurisdiction if that is higher than 18. If you are under 18 but at least 13 years of age, you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

The Service is intended for users located in the United States and is not intended for users located in any jurisdiction where access to or use of the Service would be contrary to applicable law or regulation.

By accessing or using the Service, you represent and warrant that:

• You have the legal capacity to enter into these Terms

• You are not prohibited from using the Service under the laws of the United States or other applicable jurisdiction

• You will use the Service in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself as prompted by our registration form. You also agree to update your information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Account Restrictions

You may not:

• Create more than one account per person

• Create an account for someone other than yourself without permission

• Use a username that is offensive, vulgar, or infringes on someone else's rights

• Sell, transfer, license, or assign your account, username, or any account rights

• Share your account credentials with any third party

We reserve the right to reclaim usernames on behalf of businesses or individuals that hold legal claim or trademark on those usernames.

4. SERVICE RULES AND CONDUCT

4.1 General Rules

When using the Service, you agree not to:

• Violate any applicable law, contract, intellectual property right, or other third-party right

• Engage in any harassing, threatening, intimidating, or predatory conduct

• Use or attempt to use another user's account without authorization

• Impersonate or misrepresent your affiliation with any person or entity

• Engage in any activity that interferes with or disrupts the Service (or the servers and networks connected to the Service)

• Attempt to access areas or features of the Service that you are not authorized to access

• Use any automated means or interface not provided by us to access the Service or to extract data

• Reverse engineer any aspect of the Service or do anything that might discover source code

• Attempt to circumvent any content-filtering techniques we employ

• Develop or use any applications that interact with the Service without our prior written consent

• Use the Service for any illegal or unauthorized purpose

4.2 League, Team, and User Content Rules

All league names, team names, logos, and other user-generated content must comply with our content standards. You agree not to post or share content that:

• Is illegal, fraudulent, deceptive, or misleading

• Is defamatory, obscene, pornographic, vulgar, or offensive

• Promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group

• Promotes illegal or harmful activities or substances

• Infringes upon or violates the intellectual property rights or other rights of third parties

• Contains personal information or images of another individual without their consent

• Contains or installs any viruses, worms, malware, Trojan horses, or other harmful or destructive content

• Interferes with the normal functioning of the Service or otherwise acts in a manner that restricts or inhibits anyone's use of the Service

4.3 Fantasy Football Rules and Fair Play

You agree to:

• Abide by the specific rules set for each fantasy football league you participate in

• Manage your fantasy team in good faith and with competitive integrity

• Not collude with other team owners to manipulate competition or outcomes

• Not use multiple accounts to gain unfair advantages in leagues

• Not engage in any activities that could be considered cheating or exploitation of the Service

4.4 Payment and Entry Fee Rules

For leagues that require payment of entry fees:

• All entry fees must be paid by the designated deadline

• Refunds are only available as specifically described in our Refund Policy

• Prize distributions will be made according to the league's designated prize structure

• We reserve the right to withhold payment of prizes in cases of suspected fraud, collusion, or violation of these Terms

5. LICENSE GRANTS

5.1 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service for your personal, non-commercial use.

5.2 License to User Content

By submitting, posting, or displaying content on or through the Service ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in any and all media or distribution methods now known or later developed. This license authorizes us to make your User Content available to the rest of the world and to let others do the same.

You represent and warrant that:

• You own or have the necessary rights to grant the license above

• Your User Content doesn't infringe or violate the rights of any third party, including copyright, trademark, privacy, or other personal or proprietary rights

• Your User Content doesn't violate any applicable law or regulation

5.3 FLF Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of FLF and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Nothing in these Terms gives you a right to use the FLF name or any of FLF's trademarks, logos, domain names, or other distinctive brand features.

6. PAYMENTS AND SUBSCRIPTIONS

6.1 Fees and Payments

We may offer paid services, subscriptions, or league entry fees through the Service. By providing payment information, you represent and warrant that:

• The payment information you provide is true and accurate

• You are authorized to use the payment method provided

• You will promptly update your account information with any changes

6.2 Recurring Billing

If you sign up for a subscription, you authorize us to charge your payment method on a recurring basis until you cancel. You must cancel your subscription before the next billing date to avoid charges for the next billing period.

6.3 League Entry Fees and Prizes

For pay-to-play fantasy leagues:

• Entry fees are due by the league's designated deadline

• Prize distribution will be processed according to the league's rules and payout schedule

• We may hold prizes pending verification of compliance with these Terms

• We may deduct applicable processing fees, taxes, or other charges from prizes

6.4 Refunds

All purchases, subscriptions, and league entry fees are final and non-refundable, except as expressly provided in our Refund Policy or as required by applicable law.

7. DISCLAIMERS AND LIMITATIONS OF LIABILITY

7.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLF, ITS DIRECTORS, EMPLOYEES, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

7.3 Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the above limitations may not apply to you.

7.4 Limitation of Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless FLF, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

9. THIRD-PARTY LINKS AND CONTENT

The Service may contain links to third-party websites, services, or content that are not owned or controlled by FLF. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that FLF shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

10. TERM AND TERMINATION

10.1 Term

These Terms shall remain in full force and effect while you use the Service.

10.2 Termination by You

You may terminate your account at any time by following the instructions in the Service or by contacting us. Termination of your account may not immediately remove all of your User Content from the Service.

10.3 Termination by Us

Without limiting any other provision of these Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Service to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Terms or of any applicable law or regulation.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including but not limited to, if you breach these Terms.

10.4 Effect of Termination

Upon termination of your account, your right to use the Service will immediately cease. If your account is terminated due to your breach of these Terms, you may be prohibited from establishing a new account in the future. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If your account is terminated while you have an active paid subscription or have paid entry fees for ongoing leagues, you may not be entitled to a refund except as expressly provided in our Refund Policy or as required by applicable law.

11. DISPUTE RESOLUTION

11.1 Governing Law

These Terms and any dispute arising from or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.

11.2 Arbitration Agreement

For any dispute you have with FLF, you agree to first contact us and attempt to resolve the dispute informally. If we have not been able to resolve the dispute with you informally, we each agree to resolve any claim, dispute, or controversy arising out of or in connection with or relating to these Terms, or the breach or alleged breach thereof (collectively, "Claims"), by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

The arbitration will be conducted in [City, State], unless you and FLF agree otherwise. Each party will be responsible for paying any filing, administrative, and arbitrator fees in accordance with AAA rules.

11.3 Class Action Waiver

YOU AND FLF AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and FLF agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

11.4 Small Claims Court

Notwithstanding the foregoing, you may bring an individual action in the small claims court of your state or municipality if the action is within that court's jurisdiction and is pending only in that court.

12. USER FEEDBACK AND SUBMISSIONS

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Service ("Feedback"). You may submit Feedback by emailing us or through the "Contact Us" section of the Service. You acknowledge and agree that if you submit any Feedback to us, you hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, fully-paid, royalty-free, sub-licensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback throughout the world in any media.

13. COMPETITIONS AND PROMOTIONS

Any contests, sweepstakes, or other promotions (collectively, "Promotions") made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

14. LEGAL COMPLIANCE AND GAMBLING RESTRICTIONS

14.1 General Compliance

You must comply with all applicable laws and regulations when using the Service. Without limiting the foregoing, you may not use the Service to violate any law, rule, or regulation related to gambling, contests, fantasy sports, or similar activities.

14.2 Fantasy Sports Legal Compliance

FLF's pay-to-play fantasy sports contests are games of skill designed to comply with applicable U.S. federal and state laws. However, the legality of pay-to-play fantasy sports contests may vary by state. You are responsible for determining whether your participation in such contests is legal in your jurisdiction before entering any contest with an entry fee or prize.

14.3 Restricted Jurisdictions

You may not use the Service to participate in pay-to-play contests if you are located in a jurisdiction where such participation is prohibited by law. We reserve the right to restrict or prevent access to the Service, including pay-to-play contests, from any jurisdiction at our sole discretion.

14.4 Age Verification

For any pay-to-play contests, we may require additional age and identity verification to confirm your eligibility. You agree to provide accurate information during any verification process.

15. MISCELLANEOUS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or additional terms and conditions or policies published by FLF on the Service, shall constitute the entire agreement between you and FLF concerning the Service.

15.2 Waiver and Severability

The failure of FLF to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of FLF. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15.3 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by FLF without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

15.4 Notices

All notices to users may be made via either email or regular mail, or by posting to the Service. FLF may also provide notices of changes to these Terms or other matters by displaying notices or links to notices to you generally on the Service.

15.5 No Agency

No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms.
